IR Labs Website Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the IR Labs website located at www.irlabs.ai (the “Site”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please discontinue use immediately.

1. Acceptance of terms. By visiting the Site, you confirm that you are at least 16 years of age and have the legal capacity to enter into this agreement. If you are accessing the Site on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms, and “you” refers to that entity.

2. Use of the Site. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site in accordance with these Terms. As a condition of your use of the Site, you agree not to:

  • Use the Site in any way that violates applicable federal, state, local or international laws or regulations;
  • Transmit or upload any viruses, malware or other harmful or disruptive code;
  • Attempt to gain unauthorized access to any portion of the Site, its related systems or networks;
  • Use any automated means (bots, scrapers, crawlers) to access or extract content from the Site;
  • Use the Site in any manner which could damage, disable, overburden or impair the Site;
  • Reproduce, redistribute, resell or exploit any portion of the Site or its content for any commercial purpose; or
  • Engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the Site, or that may harm us or other users.

We reserve the right to terminate or restrict your access to the Site at any time and for any reason, without notice.

3. Applicability. Access to and use of the Agentic SQA product, including the GitHub App, web application and any locally installed software (such as a command-line tool), is governed by the Agentic SQA Terms of Service and the Privacy Policy, not by these Site Terms. Any software made available for download through the Site is licensed, not sold, and its use is likewise governed by the Agentic SQA Terms of Service.

4. Privacy and your account. Your use of the Site is also subject to the IR Labs Privacy Policy at www.irlabs.ai/privacy. If you create an account on this Site, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your device, and you agree to accept responsibility for all activities that occur under your account. You may not assign or transfer your account. IR Labs is not responsible for third-party access to your account resulting from theft or misappropriation. IR Labs reserves the right to refuse or cancel service, terminate accounts, or remove or edit content in its sole discretion.

5. AI chatbot interactions. The Site may include an automated chatbot or other AI-powered functionality that provides general information or assists with navigation (“AI Chatbot”). Responses are generated automatically and may be incomplete, inaccurate or outdated, and are for general informational purposes only. You should not rely on the AI Chatbot as a substitute for professional advice or as the sole basis for a decision. Do not submit confidential, sensitive or personal information through the AI Chatbot. By interacting with it, you acknowledge that information you provide may be processed to generate responses and to maintain and improve the Site. IR Labs may modify, suspend or discontinue the AI Chatbot at any time without notice.

6. Intellectual property. All content on the Site, including text, graphics, logos, images and software, is owned by or licensed to IR Labs and protected by applicable copyright, trademark and intellectual property laws. Nothing in these Terms transfers any ownership rights to you. You may not copy, modify, distribute or create derivative works from Site content without our express written consent. Any feedback, suggestions or ideas you submit may be used by IR Labs freely and without restriction or compensation.

7. Third-party links. The Site may contain links to third-party websites or services, provided for your convenience only. We do not endorse, control or assume responsibility for third-party sites, and your use of them is at your own risk.

8. Disclaimers. The Site and all content are provided on an “as is” and “as available” basis, without warranties of any kind, express or implied, including implied warranties of merchantability or fitness for a particular purpose. We do not warrant that the Site will be uninterrupted, error-free or free of harmful components. We may modify, suspend or discontinue the Site at any time without notice.

9. Limitation of liability. To the fullest extent permitted by law, IR Labs, its affiliates, officers, employees and licensors will not be liable for any indirect, incidental, special, consequential or punitive damages arising from your use of or inability to use the Site, even if advised of the possibility. In no event shall IR Labs’ total liability arising out of or relating to these Terms exceed one hundred U.S. dollars (USD $100). Your sole and exclusive remedy is to discontinue using the Site.

10. Indemnification. You agree to indemnify and hold harmless IR Labs and its affiliates, employees and agents from any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or connected with your use of the Site, your violation of these Terms, or your infringement of any third-party rights.

11. Changes. We may update these Terms from time to time, reflected by a revision to the “Last updated” date. The most current version supersedes all previous versions. Your continued use of the Site after any changes constitutes acceptance. It is your responsibility to review these Terms periodically.

12. Governing law. These Terms are governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict-of-law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Colorado for the resolution of any disputes.
